As indicated in the press release of 29 July 2024 by Randstad N.V. regarding the passing of its founder, Frits Goldschmeding has created a future-proof structure for his shareholding in Randstad that does not depend on the life and involvement of individuals and that will continue beyond his life. 

The supporting governance and boards of directors within this structure (Stichting Stad en Lant) has been active for many years now and, as such, is fully prepared for the period post Frits Goldschmeding’s involvement. Refer to page 182 of Randstad N.V.’s annual report 2023 for more information.

As a result of the passing of Frits Goldschmeding, Stichting Stad en Lant today acquired control over Randstad Beheer B.V., which holds a more than 30% shareholding in Randstad. Consequently, Stichting Stad en Lant has the right to (indirectly) exercise more than 30% of the voting rights, without triggering a mandatory public offer.
