Enterprise Legal takes care of the legal matters for the global operations of Randstad Enterprise being:
Randstad Sourceright - outsourced services to both local and global clients of MSP (managed service provider - including staff augmentation, SOW Management Services and Resource Tracking) and RPO (recruitment process outsourcing - including screening, interview scheduling and end-to-end RPO) and Recruiters on Demand;
...
Randstad Enterprise - staffing and perm services to global clients, which are then followed up with local country agreements to cover supply by each Randstad operating company; and
Randstad RiseSmart - coaching services to local and global clients.
We are deep in the heart of the business dealing with new clients, current client accounts and lots of projects.
job purpose
This role will be primarily responsible for accounts in NL/BE, but will be expected to get involved in other accounts depending on availability. Full training will be given and the elements of the role will be added as experience is gained - but the full range of work is listed below.
The majority of the department’s work is dealing with client contracts which involves:
(i) verification of a client solution using knowledge of recruitment and staffing licensing, invoicing and tax laws around the world, and an understanding of how these apply to cross border solutions - taking information from local counsel as needed
(ii) drafting and negotiating multi-country client contracts including round table negotiations with the client, and drafting with input from expert areas on schedules for services, SLAs and Fees. Overseeing production of local country agreements with local variations
(iii) handling staffing and other panel suppliers into an MSP; where RSR has panel suppliers, we issue a panel supplier agreement which can result in suppliers raising questions - usually quite standard questions into liability, insurance etc
(iv) advising on risk decisions in the contract for both legal and commercial matters, giving options and recommendations - involving senior counsel where necessary
(v) handling operational enquiries from clients accounts as the account is in flight including interpretation of contractual clauses and variations for changes in scope services and fees
(vi) obtaining internal approvals including management summary of contractual risks
(vii) members of the team are encouraged to develop a specialist area of law -current members are the point of expertise on matters of employment law, licensing, intercompany agreements, etc
Liaison with local counsel
Whilst the role will involve leading on client matters in Belgium and Netherlands, we anticipate that you will need to liaise with the counsel in our local operating companies on industry specific laws and ensure coordinated approaches to particular points of law.
Management activity
Client partner to a NL/BE businesses
Members of the team usually also take up the role of client partner to a multi-country account which involves keeping a matter tracker and hosting bi-monthly meetings with account team and stakeholders to ensure matters are moved forward
you will need;
- Qualified or experienced lawyer with at least 3-5 years post qualification experience, ideally with some years experience in house
- A knowledge of employment law and ideally of staffing services
- Ability to negotiate client and supplier contracts
- Willing to develop an understanding of commercial elements of a deal so as to be able to draft and challenge pricing matters and able to recognise potential tax matters to raise for expert advice
- Willing to understand the business operations including the use of technology, invoicing streams and Service Levels
- Organisational skills and communication skills to project manage contracting and to clearly explain complex legal matters to sales, account teams and management
- Confidence to participate, to ask, challenge and shout-out.
- Curiosity to learn the laws of other countries, flexibility to assist on deals involving local counsel, and have an interest in and understanding of connecting with people from different cultural backgrounds
- Good English to be able to draft and negotiate confidently in English
- Good Dutch to be able to draft and negotiate confidently in Dutch
- The role is full-time or a .8 FTE
